Encyclopedia of Noteworthy Deals

369 transactions across the history of M&A, in thirteen books. Each entry gives the value as-announced, the structure, the outcome stated plainly, and the precedent it set.

What is on this page. Public transaction history — announced values, deal structures, defensive tactics and outcomes, each with its source and year. Everything here is drawn from the public record. El Dorado Capital's own segment analysis, buyer universes and live deal work are maintained privately and are not published.

By kind of transaction

The third book is the longest, deliberately. Most commentary on failed deals conflates three different diseases — overpayment at a cycle peak, integration failure, and inherited liability. They have different diligence answers, and the record separates them.

Sourcing standard

Deal values are as-announced unless stated otherwise, in the currency reported, with the year. Announced and completed values often differ; where they do, both are given. Where sources conflict, a range is given rather than a single figure — a range is an honest answer and a false single number is not. Where no defensible figure exists, the entry says so rather than estimating. Write-downs and impairments are as-reported, with the year and the reporting entity. In distressed entries, debt cancelled, new money and enterprise value are kept separate, because conflating them is the most common error in restructuring reporting.

Entries are compiled from the public record. Where a figure is hedged in the text — "reported", "sources differ", "approximately" — that hedge is deliberate and should be read as part of the entry.
